OFFICIAL RULES OF THE BROADWAY ACROSS AMERICA TONY AWARDS® SWEEPSTAKES

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. PRIZE ACCEPTANCE AGREEMENT MAY BE REQUIRED. THIS SWEEPSTAKES IS OPEN ONLY TO NATURAL PERSONS WHO ARE LEGAL RESIDENTS OF AND PHYSICALLY LOCATED IN ONE (1) OF THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA AND WHO ARE AT LEAST EIGHTEEN (18) YEARS OF AGE AT THE TIME OF ENTRY. VOID WHERE PROHIBITED. ENTRY IN THIS SWEEPSTAKES CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED. BY PARTICIPATING IN THE SWEEPSTAKES, EACH ENTRANT (DEFINED BELOW) REPRESENTS AND WARRANTS THAT HE OR SHE MEETS THESE ELIGIBILITY REQUIREMENTS AND HAS READ, ACCEPTS AND WILL COMPLY WITH THESE OFFICIAL RULES. IF AN ENTRANT IS AN ELIGIBLE MINOR IN HIS/HER STATE OF RESIDENCE, HIS/HER PARENT OR LEGAL GUARDIAN AGREES TO THESE OFFICIAL RULES ALONG WITH AND ON BEHALF OF HIS/HER MINOR CHILD.

SWEEPSTAKES NAME: THE BROADWAY ACROSS AMERICA TONY AWARDS® SWEEPSTAKES ("Sweepstakes").

SPONSOR: The Sponsor of the Sweepstakes is Key Brand Entertainment, Inc. (“Sponsor”).

ENTRY PERIOD: The Sweepstakes begins at 10:00 a.m. Eastern Time ("ET") on the 22nd day of April, 2008, and all entries must be received no later than 11:59 p.m. ET on the 20th day of June 2008 ("Sweepstakes Period").

METHOD OF ENTRY: Enter the Sweepstakes during the Sweepstakes Period: (i) via the World Wide Web by going to the Sweepstakes registration page located at: http://www.broadwayacrossamerica.com (the "Web Site"). The Web Site will contain a description of the Sweepstakes and a link to the official entry form. Complete the entry form with Entrant’s first and last name, mailing address (no post office boxes), e-mail address, and daytime telephone number, and click on the "Enter" button. Entrant must complete the entry form with all required information for the entry to be eligible. Follow the on-screen directions to properly complete the registration form. Entrants must be the registered subscriber of the email account from which the entry is made; or (ii) via regular postal mail by sending a 3 x 5 card in an envelope with your name, address, daytime phone number, birth date, and e-mail address to Tony Awards® Sweepstakes, c/o Broadway Across America, Key Brand Entertainment, Inc., 2000 West Loop South, 16th Fl., Houston, TX 77027. No third party entry or entry through a sweepstakes service is permitted. All entries become the property of the Sponsor and none will be acknowledged or returned. All eligible individuals who submit an entry during the Sweepstakes Period as described in this Section are considered “Entrants” in this Sweepstakes, but only if Sponsor actually receives such entries. Limit one (1) entry per person, per day regardless of entry method.

ELIGIBILITY: THIS SWEEPSTAKES IS OPEN ONLY TO NATURAL PERSONS WHO ARE LEGAL RESIDENTS AND PHYSICALLY LOCATED IN ONE (1) OF THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA AND WHO ARE AT LEAST EIGHTEEN (18) YEARS OF AGE AT THE TIME OF ENTRY. Sweepstakes may only be entered from and in eligible jurisdictions. Employees and agents of Sponsor, its parent or subsidiaries and each of their respective affiliates, subsidiaries, successors, assigns and any entity involved in the development, production, implementation, administration, judging or fulfillment of the Sweepstakes, and the immediate family members and/or those persons living in the same household of such individuals, are not eligible to participate or win a prize in this Sweepstakes. With regard to online entries, in the event of a dispute about the identity of an Entrant, each entry will be declared made by the registered account holder of the e-mail address submitted at time of entry, as long as that person meets all other eligibility requirements in these Official Rules. The registered account holder is deemed to be the natural person who is assigned the submitted e-mail address by the relevant Internet service provider, online access provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. With respect to any winning entry, the winner may be required to provide Sponsor with proof that the person is the registered account holder of the e-mail address associated with the winning entry. By entering the Sweepstakes, Entrants agree to comply with and be bound by these Official Rules and the decisions of the judges which are final and binding in all respects. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes.

GENERAL CONDITIONS: Only eligible entries actually received by 11:59 p.m. ET on the 20th day of June, 2008, will be included in the prize drawing. For purposes of these Official Rules, "receipt" of an online entry occurs when Sponsor’s servers record the entry information upon Entrant’s clicking on the "Enter" button or when the Sponsor receives the Entrant’s first entry form at the address above. Any automated computer receipt (such as a "thank you" message or one confirming delivery of entry) does not constitute proof of actual receipt by Sponsor of an entry for purposes of these Official Rules. Proof of mailing is not proof of receipt. Illegible, unintelligible, incomplete or garbled entries will be disqualified. Sponsor is not responsible for destroyed, delayed, lost, late, incomplete, mutilated, damaged, stolen, misdirected, illegible entries or postage due mail or other entries not received by deadline for whatever reason. Entry materials/data that have been tampered with or altered are void. ANY PERSON ATTEMPTING TO DEFRAUD SPONSOR OR IN ANY WAY TAMPER WITH, DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES WILL BE DISQUALIFIED AND MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PROSECUTION. Sponsor reserves the right to void all entries made through any robotic, automatic, mechanically programmed or similar entry duplication method and to disqualify any individual using such a method.

LIMITATION OF LIABILITY & RELEASE: Entrants agree that Sponsor and its parents, each of their subsidiaries, affiliates, distributors, licensors, licensees, representatives, attorneys and advertising and promotion agencies, and each of their respective directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) will not be responsible or liable and will be held harmless and indemnified by Entrants for any losses, costs, damages or injuries of any kind arising out of or related to: (A) Entrant’s participation in the Sweepstakes (including, without limitation, losses, damages or injuries to Entrants’ or any other person’s equipment, computer system or other property, or to their persons, related to participation in the Sweepstakes; or from any human or other error in the offering, selection, operation or announcement of any Sweepstakes activity and/or prize, (B) the personnel, equipment or operation of any air, water or surface carrier, ship line, bus or limousine company, transportation company, hotel, restaurant or other person or entity furnishing services, products or accommodations (“Vendors”) as a part of the prizes provided in this Sweepstakes; (C) any injury, damage, loss, expense, accident, delay, inconvenience or other irregularity that may be caused or contributed to: (1) by the wrongful, negligent or unauthorized act or omission on the part of the Vendors or any of their agents, servants, employees or independent contractors, (2) by any defect in or failure of any vehicle, equipment, instrumentality, service, product or accommodation that is owned, operated, furnished or otherwise used by any of those Vendors, (3) by the wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Released Parties, and (4) by any cause, condition or event whatsoever beyond the control of the Released Parties; (D) the actions of Entrants in connection with the Sweepstakes, including Entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Sweepstakes; and (E) the acceptance, possession, use, misuse, or nonuse of the prizes awarded in this Sweepstakes. The Released Parties are not responsible for printing or typographical errors in any Sweepstakes-related materials; for stolen, lost, late, misdirected, damaged, incomplete, illegible entries; or for transactions that are lost, misdirected, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly, or are lost for any reason, including, without limitation, computer, telephone, paper transfer, or human error; or for electronic, computer, or telephonic malfunction or error. If, in the Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if a computer virus, bug, unauthorized intervention, fraud, technical difficulties, or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to void any entries submitted fraudulently; to modify or suspend the Sweepstakes; or to terminate the Sweepstakes and conduct a random drawing to award the prizes using all non-suspect entries received as of the termination date. If the Sweepstakes is cancelled, modified, suspended or terminated, notice will be posted on the Web Site. Further, Sponsor is not responsible for any additional expenses, omissions, delays or re-routing resulting from any acts of any government or authority. The winner of the Grand Prize acknowledges that he or she is solely responsible for any actions, claims or liabilities of his or her guest related to any Sweepstakes-related activity, including, without limitation, any actions, claims or liabilities related to the guest's use of the Grand Prize.

All Entrants understand that travel, whether in civilized or remote areas and whether by plane, automobile, boat, raft, or other conveyance, or by foot, on land or water and in the air, contains some inherent element of risk of accident, illness, injury, loss or death, which may be caused by negligence, forces of nature, wild animals or other agencies, known or unknown. All Entrants and winners understand that these risks may be present before, during and after the trip.

SELECTION OF WINNERS: Fifty (50) Runner-Up prizes and one (1) Grand Prize will be awarded in this Sweepstakes. Winners will be selected on or about the 1st day of July, 2008, in a random drawing from among all eligible entries received. Sponsor reserves the right to disqualify any participant or winner and may refuse to award any prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the Sweepstakes, or obtained winner status using fraudulent means.

ODDS: Odds of winning a prize depend on the number of eligible entries received.

PRIZE NOTIFICATION & PUBLICITY: Potential winners will be notified by telephone, e-mail and/or regular mail (in Sponsor's sole discretion) and must meet all eligibility requirements. “Notification” is deemed to have occurred immediately upon sending of an e-mail, placing of the phone call, one (1) day after sending via a delivery service or two (2) days after mailing. Return of a prize or prize notification as undeliverable, or inability of Sponsor to contact a potential winner by telephone or e-mail within seventy-two (72) hours of selection, may result in disqualification of such potential winner, and an alternate winner may be selected by random drawing at Sponsor’s discretion. Winners may be required to complete, sign, notarize and return an affidavit of eligibility/liability release and a publicity release ("Prize Acceptance Document") as detailed below. If these documents are not returned properly executed, or are returned to Sponsor as undeliverable, or if the winner does not otherwise comply with these Officials Rules, the prize will be forfeited and awarded to an alternate winner. If a winner does not complete and return the Prize Acceptance Document within seven (7) days of Notification or, for the Grand Prize winner, is unable to travel on dates specified by Sponsor, their prize may (in Sponsor’s sole discretion) be forfeited and an alternate winner may (in Sponsor’s sole discretion) be notified. Sponsor will have no liability for any winner Notification that is lost, damaged, intercepted or not timely received by the potential winner for any reason. Parents or legal guardians of winners under the age of majority in their state of residence may be required to also sign the Prize Acceptance Document, in order for the winner to be qualified for the prize. Travel companions may be required to sign a liability and publicity release prior to travel. Sponsor’s obtaining a liability and publicity release from travel companions on Sponsor’s request is a condition precedent to the Grand Prize winner receiving his or her prize. In the event of noncompliance with these Official Rules, or if the winner cannot be contacted using the contact information in his or her entry form within the time requirements set forth above, or if Notification or prize is undeliverable or delayed, the prize will be forfeited and an alternate winner may (in Sponsor’s sole discretion) be notified. If the Grand Prize winner cannot be verified in enough time to meet advance ticketing requirements, the airline portion of the Grand Prize may remain unawarded and no substitution for airfare will be awarded; similarly the event and hotel portion of the Grand Prize may remain unawarded in the event a Grand Prize winner cannot be verified and finalized before the applicable event, and no substitute prize will be awarded.

Except where prohibited by law or regulation, by submitting an entry, Entrant grants the Sponsor a perpetual, worldwide, royalty-free license to use his/her name, character, photograph, voice, biographical data and likeness in connection with the promotion of this Sweepstakes and Sponsor, in all forms of media and by all manners (now and hereafter known), in perpetuity, without Entrant's consent, review or approval, and Entrant's waive any and all claims and/or rights to receive any royalties or other compensation for the Sponsor’s use thereof, unless prohibited by law.

PRIZES: Fifty (50) "Runner-Up" prizes will be awarded. Each Entrant selected as a Runner-Up winner will receive the following prize:

One (1) DVD copy of "Show Business, The Road to Broadway" released in 2007 by Liberation Entertainment; each with an approximate retail value (“ARV”) of Twenty Dollars ($20.00).

One (1) "Grand Prize" will be awarded. The Grand Prize includes:

A two (2) night trip on Sponsor selected dates for the winner and one (1) guest to New York City to attend the 2009 Tony Awards® ceremony, including roundtrip airfare for the winner and one (1) guest) to New York City, NY, and a two-night hotel stay (one room based on double occupancy) for the winner and one (1) guest in New York City; with an ARV of One Thousand Eight Hundred Dollars ($1,800.00). The Grand Prize trip includes: (1) roundtrip coach air transportation for the winner and one (1) guest to New York City from a major commercial airport (selected by Sponsor in its sole discretion) near Grand Prize winner’s home via a major carrier that services New York City (selected by Sponsor in its sole discretion). All travel arrangements must be made through the Sponsor. Certain restrictions and black out dates may apply.

The total ARV of all of the prizes awarded in this Sweepstakes is Two Thousand Eight Hundred Dollars ($2,800.00). The Grand Prize winner must redeem the Grand Prize on Sponsor selected dates in June 2009. The Runner-Up prizes will be shipped to the address indicated on the winner's entry form on or around August 1, 2008. There will be only fifty (50) Runner-Up prizes and one (1) Grand Prize awarded in this Sweepstakes. The Grand Prize does not include meals, gratuities, in-room charges, travel expenses, transfers, taxes, ground transportation any other item or expense not specifically described in these Official Rules, and all additional expenses, if any, are the sole responsibility of winner. Prizes may not be transferred or assigned except in Sponsor's sole discretion. Only listed prizes will be awarded and no substitutions or cash equivalents or redemption will be made, except that Sponsor reserves the right to award a prize of equal or greater ARV, including, without limitation, if any advertised prize (or any component thereof) becomes unavailable. The Grand Prize cannot be used in conjunction with any other promotion or offer. Winners agrees to accept the prizes “as is”, and Entrants hereby acknowledge that Sponsor has neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the prizes, including, without limitation, to any prize’s quality, merchantability or fitness for a particular purpose or express warranties (if any) provided exclusively by a prize supplier that are sent along with the prize. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates. If, for whatever reason, the Tony Awards® ceremony is cancelled after the Grand Prize is ticketed, or cancelled during the trip prior to the Tony Awards®, Sponsor’s liability for the Grand Prize is limited only to the travel portion of the Grand Prize. No compensation will be paid in lieu of the cancelled Tony Awards®. Flight schedules are subject to change without notice. Sponsor is not liable for any expenses as a consequence of flight cancellation/delay. The winner of the Grand Prize may be required to provide a credit card at the time of hotel check-in. The winner of the Grand Prize and his or her guest must travel together on the same itinerary, including the same departure date, destination and return date. If, in Sponsor's sole discretion, air travel is not required because Grand Prize winner resides less than Two Hundred (200) miles from New York, ground transportation may be substituted for roundtrip air transportation and the difference in value will not be awarded to the Grand Prize winner. The stated ARV of the prizes is based on available information provided to Sponsor and the value of any prize awarded to a winner may be reported for tax purposes as required by law. The prize winners will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prize they receive. The Grand Prize winner must provide Sponsor with a valid taxpayer identification number or social security number before the Grand Prize will be awarded for tax reporting purposes.

The Sponsor will not be responsible for awarding any unawarded prizes, if the Grand Prize winner’s behavior at any time whatsoever causes the event producer to force the Grand Prize winner to leave such event and/or if hotel or transportation vendors refuse service to the Grand Prize winner. Also, the Sponsor will not be responsible for awarding any unawarded portion of the Grand Prize to the Grand Prize winner if, the Grand Prize winner undertakes activities or communicates messages or images or engages in speech publicly or made known publicly that: (a) are sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; (b) are obscene or offensive, or may create public disrepute, contempt, scandal or ridicule; (c) defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any third party’s or Sponsor’s personal or intellectual property rights or contain disparaging remarks about other people or companies; (d) are inconsistent with the positive images and/or goodwill to which the Sponsor wishes to associate (which may be determined by the Sponsor, at its sole and absolute discretion); and/or (e) otherwise violate the terms of any of the agreements that the winners have agreed to comply with as an entrant of this Sweepstakes.

GOVERNING LAW / DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants’, Sponsor or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. The parties hereby consent to exclusive jurisdiction and venue of the courts located in Los Angeles County, California in any action to enforce (or otherwise relating to) these Official Rules or relating to this Sweepstakes.

BY ENTERING THE SWEEPSTAKES, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

OFFICIAL RULES: For a copy of these Official Rules prior to the end of the Sweepstakes Period, mail a self-addressed stamped envelope by first class mail to Tony Awards® Sweepstakes, c/o Broadway Across America, Key Brand Entertainment, Inc., 2000 West Loop South, 16th Fl., Houston, TX 77027. VT residents may omit return postage for Official Rules requests.

WINNER’S LIST: A winner’s list is available only within the ninety (90) days following the Sweepstakes Period. In order to obtain a winner’s list, send a self-addressed, stamped envelope to Tony Awards® Sweepstakes, c/o Broadway Across America, Key Brand Entertainment, Inc., 2000 West Loop South, 16th Fl., Houston, TX 77027.

MISCELLANEOUS: The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred. The invalidity or unenforceability of any provision of these Official Rules or the Prize Acceptance Document will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Prize Acceptance Document is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. For Entrants, to the extent there is a conflict between these Official Rules and any terms of use or other agreement posted on the Web Site, these Official Rules control.
